DMD Advocates advised India Agri Business Fund II Limited in relation to sale of equity shares held by them, aggregating to 38.71% of the paid-up share capital on a fully diluted basis, in Naturell (India) Private Limited to Zydus Wellness Limited, an Indian listed entity. The sale of equity shares was part of complete buy-out wherein Zydus Wellness Limited acquired 100% shares held by existing shareholders in Naturell (India) Private Limited.
The transaction documents in relation to sale of equity shares in Naturell (India) Private Limited were executed amongst the parties on October 30, 2024, and the transaction was closed on November 29, 2024.
The transaction was led by Rashi Dhir (Senior Partner and Head of Corporate) and Saiyam Chaturvedi (Partner) along with Divay Rastogi (Counsel), Srishti Pandey (Associate) and Ela Bharti (Associate).
